This website is operated by 深圳忆纪元科技有限公司 (MemoraX). By accessing or using the website or an applicable service, you acknowledge that you have read and agree to these terms. If a specific product has a separate order or agreement, the contracting entity and service-specific terms stated there take precedence for that service. If you act for an organization, you represent that you can bind it. Do not use the service if you do not agree or lack authority.

A particular service may be covered by an order, master services agreement, data processing agreement, acceptable use policy, or supplemental in-product terms. In a conflict, a signed service-specific agreement comes first, then product supplemental terms, then these terms, only for the service and issue involved.

MemoraX provides website information, research materials, developer documentation, software, APIs, consoles, demonstrations, or technical services related to long-term memory for AI agents. Available functions, regions, capacity, support, and service levels are determined by the relevant product interface or written agreement.

Roadmaps, benchmark figures, customer scenarios, and future plans on the website are general information. Unless a source and test conditions are clearly stated, demonstration data should not be treated as a result guaranteed for your use case. Public materials are not investment, legal, or other professional advice and are not an irrevocable offer.

• You must be old enough to form a contract where you live and have required authority when acting for an organization.
• Registration information must be accurate, complete, and current. You may not impersonate someone else, sell or rent an account, or share it to evade limits.
• Protect passwords, API keys, tokens, and devices, and take responsibility for activity under your credentials. Do not put secrets in public repositories, client-side code, or untrusted environments.
• If you discover exposure, unauthorized access, or a security incident, revoke affected keys and contact us immediately. We may suspend suspicious credentials for security.

Organization administrators may control member access, projects, data, and quotas. The organization and user are responsible for coordinating account transfer or closure after employment or collaboration changes and should follow applicable product processes.

You may not use the website or services for unlawful, infringing, fraudulent, or harmful activity, including:

• uploading personal information, confidential material, malicious code, or illegal content you are not authorized to process;
• intruding into, scanning, or disrupting systems, or bypassing authentication, quotas, security boundaries, or access controls;
• unauthorized scraping, bulk registration, resale, or imposing an unreasonable load on infrastructure;
• building or deploying systems designed to deceive, harass, discriminate against, monitor, injure, or violate the lawful rights of people;
• removing rights notices, impersonating MemoraX, or falsely claiming a partnership, certification, endorsement, or test result;
• reverse engineering where prohibited by law or attempting to obtain source code, model weights, non-public data, or another user's content.

Legitimate security research requires prior written authorization. We may investigate suspected violations, limit requests, or remove content and may report to competent authorities where law requires or an urgent risk exists.

As between you and MemoraX, you retain rights in prompts, documents, code, memory content, configurations, and other materials you lawfully submit. You grant us a limited license only as necessary to provide, protect, support, and improve the agreed service, including hosting, processing, transmitting, and generating output at your direction.

You are responsible for having the rights, notices, and consents needed for submitted materials and associated personal information, and for deciding whether output is suitable for your purpose. Whether customer content is used to train or improve a general-purpose model is not presumed by this website and is governed by product settings and a written agreement.

You may voluntarily provide suggestions or feedback. Unless confidentiality is agreed in writing, we may use feedback that does not identify you or your organization to improve services without payment, but that does not transfer ownership of underlying customer content.

The website, services, software, interfaces, brands, documentation, and related technology and content are owned by MemoraX or its licensors and protected by intellectual property laws. These terms grant only a limited, non-exclusive, non-transferable, revocable right to use the service according to its documentation during the applicable term. No ownership is transferred.

Open-source code and third-party components remain subject to their respective licenses; license files in the relevant repository or distribution control. Do not use the MemoraX name, marks, or interface to imply partnership, sponsorship, or endorsement without written permission.

The website and products may link to or integrate GitHub, paper hosts, maps, media outlets, model providers, development tools, or cloud services. Third parties operate independently under their own terms, privacy policies, fees, and availability rules. A link does not itself mean MemoraX guarantees third-party content, products, or views.

Enabling an integration authorizes the data exchange needed for that integration. Review the third party's security, permissions, and data-use rules first. Third-party changes or outages may affect a feature, and MemoraX cannot control their continued availability.

Website access is generally free. Pricing, currency, taxes, quotas, billing cycles, and refund conditions for paid services are stated on the checkout page, quote, or order. Except where law or a written agreement requires otherwise, consumed usage and paid fees are non-refundable.

Free trials, invitation tests, previews, and experimental features may be changed, limited, suspended, or ended at any time and may contain errors, reset data, or be incompatible with a production release. Do not rely on a test service as the only copy of data or for critical operations. We will try to give reasonable notice of material changes when practical, but do not promise that a test feature will launch.

Where the parties have signed a nondisclosure agreement, it governs confidential information. Without a specific agreement, do not send material requiring special protection through the public website or ordinary email, and MemoraX does not assume confidentiality duties beyond applicable law merely by receiving unsolicited material.

We use risk-appropriate measures to protect services, but you remain responsible for permissions, backups, integration and output review, and following documented security guidance. A security description only reflects measures then available and is not a promise of absolute security or an unlisted certification.

To the fullest extent permitted by law, the website, public materials, test functions, and services without a specific service-level agreement are provided “as is” and “as available.” MemoraX disclaims express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement, continuous availability, error-free operation, and complete accuracy of output.

AI and memory-retrieval output may be incomplete, outdated, or incorrect and may vary with input, model, dataset, and configuration. Use human review before legal, medical, financial, employment, safety, or other high-impact decisions, and do not use output as the sole basis. Rights and warranties that cannot lawfully be excluded remain unaffected.

To the fullest extent permitted by law, MemoraX and its personnel will not be liable for indirect, incidental, special, punitive, or consequential loss, or for lost profit, revenue, goodwill, data, or business opportunity, even if advised that it could occur.

MemoraX's aggregate liability for all claims relating to these terms will not exceed the amount you actually paid for the service giving rise to the claim in the 12 months before the event; for a free service, the cap is USD 100 or its equivalent. This limit does not apply to fraud, willful misconduct, personal injury, or other liability that law does not allow to be limited. A signed service-specific agreement may state a different limit.

You may stop using the website and close an account through the applicable product process. We may restrict, suspend, or terminate access for a terms violation, security risk, legal requirement, nonpayment, prolonged inactivity, or service discontinuation. Where circumstances allow, we will give reasonable notice and an opportunity to cure. Urgent security risks may require immediate action.

On termination, the right to use the service ends. Provisions that by nature should survive remain effective, including intellectual property, fees, disclaimers, liability limits, dispute terms, and confidentiality. Data export and deletion depend on product capabilities, the Privacy Notice, and any specific agreement.

We may update these terms to reflect service or legal changes and will revise the date. For changes that materially affect rights or duties, we will provide reasonable notice through the website, product, or registered email. Continued use after the effective date indicates acceptance. If you disagree, stop using the service and terminate the account through the applicable process.

Unless a specific agreement or mandatory consumer law says otherwise, these terms are governed by the laws of mainland China, without regard to conflict-of-law principles. The parties should first attempt good-faith negotiation. An unresolved dispute will be submitted to a court with jurisdiction where the actual operating entity is domiciled.

If a provision is invalid, the rest remain effective. Failure to enforce a right is not a waiver. You may not assign these terms without our written consent. MemoraX may assign them in a reorganization, merger, or asset transfer without reducing your statutory rights.
